Welcome to Amplee, owned and operated by Meme Chat Private Limited, a private limited company incorporated under the Companies Act, 2013, having its registered office at T8-1002, Parsvnath Green Ville Sector-48, Sohna Road, Haryana, India, 122018 ("Amplee" or "Platform").
Amplee is a platform that provides a technology-enabled ecosystem, enabling Meme Chat Private Limited to onboard its clients, including brands, artists, agencies, advertisers and other creative entities ("User") onto the Platform.
Upon successful onboarding, Users are provided with access to a dedicated dashboard ("Amplee Dashboard") that integrates their account with Speckit, a separate platform owned and operated by Meme Chat Private Limited, which facilitates interaction between Users and content creators registered on it ("Content Creators") for the purposes of content creation and collaboration ("Speckit"). Users may create, configure, and launch campaigns, tasks, creative briefs, initiatives, projects, and challenges ("Campaigns") for engagement with Content Creators on Speckit, through the Amplee Dashboard.
The services offered by Amplee are designed to facilitate the onboarding of Users and to enable seamless access to Speckit for the launch, performance tracking and management of their Content and Campaigns ("Services").
For the purpose of these Terms and Conditions ("Terms"), wherever the context so requires, the term "you" shall mean any natural or legal person or entity accessing or using the Services provided on this [application/website] ("Platform") and the terms "we", "us" and "our" shall mean Amplee.
The headings of each section in these Terms are only for the purpose of organizing the various provisions under these Terms in an orderly manner. These headings shall not be used by either party to interpret the provisions contained within them in any manner. Further, the headings have no legal or contractual value.
By visiting this Platform, viewing, accessing or otherwise using any of the Services or information created, collected, compiled or submitted to the Platform, you agree to be bound by these Terms. If you do not want to be bound by our Terms, your only option is not to visit, view or otherwise use the Services of the Platform.
You understand, agree and acknowledge that these Terms and the Privacy Policy (please refer to the "Privacy Policy" section on the Platform for more information), collectively, constitute a legally binding agreement between you and Amplee and that your use of the Platform shall indicate your conclusive acceptance of these Terms. You are advised to read the Terms and the Privacy Policy carefully before you use the Services of the Platform.
Use of the Platform is available only to Users who can form legally binding contracts under applicable law. Persons who are 'incompetent to contract' within the meaning of the laws applicable to them in their respective jurisdiction are not eligible to use the Platform.
You affirm that you are either more than 18 years of age, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions and obligations set forth in these Terms, and to abide by and comply with these Terms. In any event, you affirm that you are over the age of [14, as the Service is not intended for children under 14]. If you are under 14 years of age, then please do not use the Service. Amplee reserves the right to freeze your account and refuse to provide you with access to the Platform if Amplee discovers that you are under the age of 18 years or otherwise not capable of forming binding contracts. In case of a business entity, you represent that you have the necessary authority to bind the entity to these Terms.
Unless otherwise specified, the materials on the Platform are directed solely at those who access the Platform from India. Amplee makes no representation that any content referred to in the materials on the Platform is appropriate for use, or available outside India. Those who choose to access the Platform from outside India are responsible for compliance with local laws if and to the extent local laws are applicable.
You agree to use the Platform only: (i) for purposes that are permitted by these Terms; and (ii) in accordance with the applicable law.
You agree that you will not use the Platform in any manner or engage in any activity that may damage, disable or impair or adversely affect the use of the Platform or interfere with any other users' use, legal rights or enjoyment of the Platform.
You further undertake not to:
• engage in any activity that interferes with or disrupts access to the Platform (or the servers and networks which are connected to the Platform);
• attempt to gain unauthorized access to any portion or feature of the Platform, any other systems or networks connected to the Platform, to any of Amplee's servers, or through the Platform, by hacking, password mining or any other illegitimate means;
• disrupt or interfere with the security of, or otherwise cause harm to, the Platform, system resources, accounts, passwords, servers or networks connected to or accessible through the Platform;
• use the Platform or any material or content for any purpose that is unlawful or prohibited by these Terms, or to solicit the performance of any illegal activity or other activity which infringes the rights of Amplee or other third parties;
• violate any applicable laws or regulations for the time being in force within or outside India; and
• violate these Terms.
Subject to compliance with these Terms, Amplee enables Users to onboard onto the Platform and provides them with access to the Amplee Dashboard for the management of their Campaigns on Speckit. Users may initiate, customise, modify, monitor and manage their Campaigns which are live on Speckit, including configuring campaign parameters, tracking performance metrics and engagement data and making real-time adjustments to optimise outcomes.
Amplee further enables Users to access integrated tools for coordinating and overseeing Campaign execution in a streamlined manner. Users can track and monitor the performance of their Campaigns through aggregated reports, insights and analytics made available on the Platform, including data relating to reach, engagement, and overall performance.
The Platform facilitates collaboration and co-creation by enabling Users to engage with Content Creators participating in such Campaigns through Speckit.
The Platform may enable Users to access and engage with a network of third-party social media pages, publishers, communities, and other distribution channels ("Distribution Partners") for the purpose of amplifying and disseminating Content. Such Distribution Partners operate independently and are neither owned, controlled, nor managed by Amplee. Amplee does not exercise any editorial control over, nor does it influence, the content, timing, manner, or placement of publication by such Distribution Partners on their respective platforms.
The Platform integrates with Speckit, a separate platform operated by Meme Chat Private Limited, to facilitate interaction of Users with Content Creators. Users acknowledge that the use of Speckit and any services provided thereunder shall be subject to separate terms and conditions governing Speckit. Amplee shall not be responsible or liable for any acts, omissions, content, or services provided through Speckit, including participation by Content Creators, fulfilment of deliverables, or any disputes arising therefrom.
To access features of the Platform, you will have to register on the Platform by providing details including but not limited to your full name, mobile number, email address, etc. and such other information as may be required by Amplee, from time to time. The use of any information you share with us to create your account is governed by our Privacy Policy.
It is the User's responsibility to keep the details of the account and password confidential and you agree to accept responsibility for all activities that occur under your account or password. Amplee shall not be liable to any person for any loss or damage which may arise as a result of any failure by the User to protect the account details or the password. In case of any suspected breach, please contact us immediately. We, at our sole discretion, reserve the right not to accept a User from registering on the Platform without assigning any reason thereof.
You shall ensure and confirm that the account information provided by you is complete, accurate and up-to-date. If there is any change in the account information, you shall promptly update your account information on the Platform. If you provide any information that is untrue, inaccurate, not current or incomplete (or becomes untrue, inaccurate, not current or incomplete), or if Amplee has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Amplee has the right to suspend or terminate your account and refuse any and all current or future use of the Platform (or any portion thereof) at its discretion, in addition to any right that Amplee may have against you under law or in equity, for any misrepresentation of information provided by you.
If Amplee has reason to believe that there is likely to be a breach of security or misuse of the Platform, we may require you to change your password or we may permanently suspend your account without any liability to Amplee. Amplee reserves the right to block you from any particular Service or section of the Platform, if, at its sole discretion, it is of the opinion that a member is disrupting any Service or section of the Platform, or in some other way negatively affecting the Services or the Platform or the Users within the Platform. You agree that any previously posted Campaign or any other material made available therewith will no longer be available to you for editing and/or removal while you are blocked from that Service or section. By joining, you agree that Amplee is not obligated to explain the reasoning behind its decision to block or restrict your use of the Services.
You are solely responsible for all activities that occur in your account. You agree to notify us immediately of any unauthorized use of your account in order to enable us to take necessary corrective action. You also agree that you will not allow any third party to use your account for the purpose of acting on your behalf on the Platform.
Any text, images, videos, audio, graphics, designs, brand assets, campaign materials, briefs, comments and any other materials made available by Users on Speckit via the Platform ("Content") shall remain the sole property of the respective Users. You are solely responsible for all the Content made available by you in relation to any Campaign and certify that you own all intellectual property rights in your Content. Amplee does not claim any ownership rights in such Content. Users shall retain all rights, including all intellectual property rights, title, and interest in and to their Content. Subject to the foregoing, Users grant Amplee a limited, non-exclusive, worldwide, royalty-free licence to use, host, store, reproduce and display such Content solely to the extent necessary for the operation of the Platform and its integration with Speckit, and in accordance with these Terms.
Further, all rights, title, and interest in and to the Platform, including its design, software, technology and proprietary materials, shall remain vested in Amplee.
Users shall not copy, reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content, material, or intellectual property made available on the Platform by other Users, except as expressly permitted under these Terms. Further, Users shall not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying structure, or algorithms of the Platform, nor shall they exploit, misuse, or interfere with the Platform or its functionalities for any unauthorized or unlawful purpose.
Users may set specific requirements for the Campaigns they launch via the Platform, including but not limited to themes, timelines, deliverables and compensation terms. Participation by Content Creators in any Campaign is entirely voluntary and they may choose whether or not to participate at their sole discretion.
Amplee serves solely as an intermediary, facilitating the launch and management of Campaigns on Speckit via the Platform, and does not guarantee any level of participation, visibility, or engagement for any Campaign.
All Campaigns and any content or deliverables received in connection therewith shall be subject to review and approval by the respective Users. Users shall have the right, at their sole discretion, to approve, reject, or request modifications to such deliverables in accordance with the applicable Campaign requirements. Users acknowledge that the submission, acceptance, and fulfilment of such deliverables shall be governed by the terms and conditions of Speckit, and Amplee shall have no control over or liability in relation thereto.
Users shall be solely responsible for ensuring that all Campaigns, including any associated Content, comply with all applicable laws, regulations and industry guidelines, including those relating to advertising, consumer protection and influencer marketing (including disclosure requirements).
Amplee shall not be responsible for verifying the legality, accuracy, or compliance of any Campaign or Content and shall not be liable for any non-compliance by Users, Content Creators, or Distribution Partners.
Users acknowledge that Amplee acts solely as a technology intermediary facilitating the distribution of Content through Distribution Partners. All decisions relating to the publication, timing, placement, modification or removal of such Content are made independently by the respective Distribution Partners.
Amplee does not publish any content on behalf of Users and does not control, endorse, or guarantee the dissemination of Content on any third-party platform. Accordingly, Amplee shall not be liable for any acts, omissions, modifications, delays, or failures on the part of Distribution Partners, including any failure to publish or any alteration of Content.
You are restricted from displaying, uploading, modifying, publishing, transmitting, storing, updating or sharing any information, Campaign or Content through the Platform that:
• belongs to another person and to which you do not have any right to;
• is obscene, pornographic, paedophilic, invasive of another's privacy including bodily privacy, insulting or harassing on the basis of gender, racially or ethnically objectionable, relating or encouraging money laundering or gambling, or promoting enmity between different groups on the grounds of religion or caste with the intent to incite violence;
• is harmful to child;
• infringes any patent, trademark, copyright or other proprietary rights;
• deceives or misleads the addressee about the origin of the message or knowingly and intentionally communicates any misinformation or information which is patently false and untrue or misleading in nature or, in respect of any business of the Central Government, is identified as fake or false or misleading by such fact check unit of the Central Government as the Ministry may, by notification published in the Official Gazette, specify;
• impersonates another person;
• threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognisable offence, or prevents investigation of any offence, or is insulting other nation;
• contains software virus or any other computer code, file or program designed to interrupt, destroy or limit the functionality of any computer resource;
• is in the nature of an online game that is not verified as a permissible online game;
• is in the nature of advertisement or surrogate advertisement or promotion of an online game that is not a permissible online game, or of any online gaming intermediary offering such an online game;
• violates any law for the time being in force.
Without prejudice to the foregoing, Amplee reserves the right to remove, disable access to, or restrict any such information, Campaign or Content, and to suspend or terminate the account of the concerned User, at its sole discretion and without prior notice. Where such non-compliance relates to the creation, generation, modification, alteration, hosting, displaying, uploading, publishing, transmitting, storing, updating, sharing or otherwise disseminating of information in contravention of any law for the time being in force, the User responsible for such non-compliance may be liable to penalty or punishment under applicable laws. Further, in cases where such violation relates to the commission of an offence under any applicable law, including but not limited to the Bharatiya Nagarik Suraksha Sanhita, 2023 or the Protection of Children from Sexual Offences Act, 2012, and such offence is required to be mandatorily reported, Amplee shall report such offence to the appropriate authorities in accordance with applicable legal requirements. Amplee shall not be liable for any consequences arising from such actions of the User.
The copyright and all other intellectual property rights in and to the Platform and the Amplee Content are the exclusive property of Amplee or its licensors and are protected under applicable copyright, trademark and other intellectual property laws. For the purposes of these Terms, "Amplee Content" means all content and materials made available on or through the Platform by Amplee, including but not limited to the Platform's design, layout, user interface, graphics, logos, trademarks, text, software and other proprietary materials, whether owned by Amplee or licensed to it.
Subject to compliance with these Terms, Amplee grants you a limited, non-exclusive, non-transferable and revocable licence to access and use the Platform and the Amplee Content solely for your internal, non-commercial purposes. Except as expressly permitted herein, you shall not copy, reproduce, distribute, transmit, display, perform, publish, license, create derivative works from, adapt, modify, reverse engineer, or otherwise exploit any Amplee Content without the prior written consent of Amplee.
Any unauthorised use of the Platform or the Amplee Content may violate applicable laws and may result in civil and/or criminal liability. All rights not expressly granted herein are reserved by Amplee. For any questions or assistance, please contact us at help@memechat.app.
All names, logos, marks, labels, trademarks, copyrights or intellectual and proprietary rights on the Platform belonging to any person, entity or third party are recognized as proprietary to the respective owners and any claims, controversy or issues against these names, logos, marks, labels, trademarks, copyrights or intellectual and proprietary rights must be directly addressed to the respective parties. You may not reproduce, copy, distribute, store or in any other fashion re-use such material unless otherwise indicated on the Platform or unless given express permission to do so.
You irrevocably confirm and undertake that we shall not be liable for any claims, expenses and liabilities for display or use of the names, logos, marks, labels, trademarks, copyrights or intellectual and proprietary rights on our Platform under license or rights or affiliation with the said person, entity or third party.
To the maximum extent permissible by applicable law, Amplee disclaims any liability or responsibility for the accuracy, reliability, availability, completeness, legality or operability of the material, content or Services provided on the Platform.
THE ANALYTICS, INSIGHTS AND PERFORMANCE METRICS PROVIDED ON THE PLATFORM ARE INDICATIVE IN NATURE AND ARE BASED ON DATA MADE AVAILABLE BY THIRD-PARTY PLATFORMS AND PARTICIPANTS. AMPLEE DOES NOT WARRANT OR GUARANTEE ANY MINIMUM LEVEL OF REACH, IMPRESSIONS, ENGAGEMENT, VIRALITY, OR OTHER PERFORMANCE OUTCOMES IN RELATION TO ANY CAMPAIGN.
WE DO NOT WARRANT THAT THE PLATFORM OR SERVICES WILL BE UNINTERRUPTED OR ERROR FREE. IN ADDITION, WE DO NOT MAKE ANY WARRANTY AS TO THE MATERIAL OR CONTENT ON THE PLATFORM. THE PLATFORM, SERVICES AND THE CONTENT OR MATERIAL ARE DISTRIBUTED ON AN "AS IS, AS AVAILABLE" BASIS. ANY MATERIAL THAT YOU ACCESS, DOWNLOAD OR OTHERWISE OBTAIN THROUGH THE PLATFORM IS DONE AT YOUR OWN DISCRETION, COMPETENCE, ACCEPTANCE AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY POTENTIAL DAMAGES TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM YOUR DOWNLOAD OF ANY SUCH MATERIAL. NEITHER WE NOR ANY OF OUR PARTNERS OR LICENSORS OR ASSOCIATES MAKES ANY WARRANTY THAT: (I) THE PLATFORM OR SERVICES WILL MEET YOUR REQUIREMENTS, (II) THE PLATFORM OR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE PLATFORM OR SERVICES WILL BE ACCURATE OR RELIABLE, (IV) THE QUALITY OF ANY SERVICES, INFORMATION, OR OTHER MATERIAL THAT YOU OBTAIN THROUGH THE PLATFORM WILL MEET YOUR EXPECTATIONS, AND (V) ANY ERRORS WILL BE CORRECTED. NEITHER WE NOR ANY OF OUR OR LICENSORS OR ASSOCIATES MAKES ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE PLATFORM, ANY CONTENT, OR ANY OF OUR SERVICES, TOOLS, PRODUCTS, OR PROPERTIES. YOU EXPRESSLY AGREE THAT YOU WILL ASSUME THE ENTIRE RISK AS TO THE QUALITY AND THE PERFORMANCE OF THE PLATFORM, SERVICES AND THE ACCURACY OR COMPLETENESS OF ITS CONTENT OR MATERIAL.
IN NO EVENT WILL WE, OUR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARENTS, AFFILIATES, ASSOCIATES, SUCCESSORS, ASSIGNS, LICENSORS, OR OUR PARTNERS SHALL BE LIABLE TO YOU OR ANY OTHER THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY TYPE INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, BUSINESS INTERRUPTION, COMPUTER FAILURE OR MALFUNCTION, LOSS OF BUSINESS PROFITS, LOSS OF DATA OR BUSINESS INFORMATION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF THE USE OF OR INABILITY TO USE THE PLATFORM OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to defend, indemnify and hold harmless Amplee, its directors, officers, affiliates, employees, developers, agents, and their successors and assigns ("Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from or related to:
• your access to or use of the Platform or Services;
• your Content;
• any breach of these Terms;
• any violation of applicable laws or third-party rights, including intellectual property, data protection or privacy rights; or
• any negligent, fraudulent or unlawful act or omission by you.
The obligation to protect and hold harmless the Indemnified Parties shall continue till the termination or expiry of these Terms.
These Terms will continue to apply until terminated either by you or Amplee as set forth below. Notwithstanding the foregoing, these Terms shall automatically terminate, without any further action, upon the termination or expiry of your agreement, arrangement, or relationship with Meme Chat Private Limited (including in relation to Speckit), for any reason whatsoever.
If you object to these Terms or are dissatisfied with the Platform, your only recourse is to: (i) close your account on the Platform; and/or (ii) stop accessing the Platform. If you stop using the Platform or the Services without deactivating your account, your account may be deactivated due to prolonged inactivity.
In the event you violate these Terms and/or any applicable law, Amplee may, at any time and in its sole discretion, suspend or terminate your account and/or restrict or prevent your access to the Platform and/or Services.
Amplee may delist you or block your future access to the Platform or suspend or terminate your account if it believes, in its sole and absolute discretion that you have infringed, breached, violated, abused, or unethically manipulated or exploited anything contained in these Terms.
Amplee reserves the right to immediately suspend or terminate your access to the Platform, without notice under the following conditions:
• upon any indication or suspicion that your profile is displaying false information, including but not limited to the wrong location information.
• if you are accessing the Service from an IP address where spam has been identified as originating from in the past, or from an IP address located within an IP block, or an IP range, where spam has been identified as originating from in the past.
• if Amplee determines, in its sole discretion, that your actions towards other Users, or towards the Platform, or its employees, or its moderators, are, or have been, abusive and/or disruptive in any way.
• if you launch negative and/or disparaging Campaigns and Content therewith about other members, or about the Platform, or about its employees, or about moderators, in any public area of the network.
• if you are under 18 years of age, or between 14 to 18 years of age without valid parental or guardian consent.
Upon termination of these Terms, Amplee may remove or delete any Campaigns, Content or any other material associated with you in accordance with applicable law, and shall not be liable to you or any third party for such actions.
Notwithstanding the termination or expiry of these Terms for any reason, those provisions which by their nature are intended to survive, including but not limited to provisions relating to intellectual property, content rights, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and any other provisions which expressly or by implication are intended to survive, shall continue in full force and effect.
Information on the Platform may occasionally include some links which may lead to other websites, including those operated and maintained by third parties or such other third-party sites that might be directly or indirectly related to the individual or institutional service providers listed on the Platform. Amplee includes these links solely as a convenience to you and the presence of such a link does not imply a responsibility on Amplee for the linked site or an endorsement of the linked site, its operator, or its contents.
Please be aware that once you click on the link to one of these sites, you will be subject to that site's terms and conditions and not to ours. We recommend that you examine each such external website's terms and conditions separately.
Your use of the Platform is governed by Amplee's Privacy Policy, which outlines how personal information is collected, used, stored, and protected. By accessing or using the Platform, you acknowledge that you have read and understood the Privacy Policy and consent to the processing of your personal data in accordance therewith and applicable law.
In connection with the provision of the Services, Amplee may collect, process, and analyse data relating to Campaign performance, engagement metrics, user interactions, and related analytics. Such data may be aggregated and shared across the Amplee and Speckit ecosystem for the purposes of improving Services, generating insights, and enabling effective Campaign management, in accordance with the Privacy Policy.
You acknowledge that any information voluntarily shared by you on publicly accessible areas of the Platform or in connection with any Campaign may be accessible to other Users, Content Creators, Distribution Partners, or third parties, and that Amplee shall not be responsible for the use, misuse, or dissemination of such information by such parties.
To the maximum extent permitted under applicable law, Amplee shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with any unauthorised access to, use of, or disclosure of personal information, except to the extent such liability cannot be excluded under applicable law.
Amplee shall not be liable for failure or error of Services on the Platform or for any failure on part of Amplee to perform any of its obligations under these Terms if performance is prevented, hindered or delayed by a Force Majeure Event (as defined below) and in such case its obligations under these Terms shall be suspended for so long as the Force Majeure Event continues.
The term "Force Majeure Event" means and includes any event due to any cause beyond the reasonable control of the affected party, including without limitations, unavailability of any communication systems, breach, or virus in the processes or payment or delivery mechanism, sabotage, fire, flood, explosion, acts of god, civil commotion, strikes or industrial action of any kind, riots, insurrection, war, acts of government, pandemic or epidemic, computer hacking, unauthorised access to computer data and storage devices, computer crashes, malfunctioning in the computer terminal or the systems getting affected by any malicious, destructive or corrupting code or program, mechanical or technical errors/failures or power shut down, faults or failures in telecommunication, etc.
We may be required under applicable laws, to notify you of certain events. You hereby acknowledge and consent that such notices will be effective upon our posting them on the Platform or delivering them to you via e-mail. You may update your e-mail address by visiting the Platform in the section where you have provided contact information. If you do not provide us with accurate information, we cannot be held liable if we fail to notify you. Any notice provided to Amplee pursuant to the Terms should be sent to: help@memechat.app.
You cannot assign or otherwise transfer the Terms, or any rights granted hereunder to any third party. Amplee's rights under the Terms are freely transferable by Amplee to any third party without the requirement of seeking your consent.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
